Terms of Service

Effective Date: May 17, 2026

These Terms govern your use of southdakotaregisteredagent.co (the "Site") and the registered agent services ("Services") provided by South Dakota Registered Agent.co ("we," "us," or "our"). Using the Site or buying Services means you accept these Terms.

1. What We Do

South Dakota Registered Agent.co provides registered agent services in South Dakota:

• Maintaining a physical South Dakota address (street + mailing) as your registered agent address
• Accepting service of process and official documents during business hours
• Scanning and emailing documents to you, typically same business day
• Sending compliance reminders for annual report deadlines
• Providing online portal access to your stored documents

2. Who Can Use This

You must be 18+, authorized to act for the business entity being registered, and willing to provide accurate enrollment information.

3. Pricing and Payment

• Service costs $99 per year
• Payment due at enrollment and each annual renewal
• We accept major credit cards and other displayed methods
• Prices may change with 30 days notice before renewal
• Unpaid accounts may be suspended after reasonable notice

4. Term

Service runs from enrollment and renews annually unless cancelled. We notify you before renewal.

5. Cancellation

• Cancel via support@southdakotaregisteredagent.co any time
• Effective at end of current paid term
• No partial refunds unless we decide otherwise
• You must file a new agent with the South Dakota Secretary of State upon cancellation

6. What You Agree To

• Keep your business and contact info current with us
• Tell us about name changes, dissolutions, or address updates
• Retrieve and respond to forwarded documents promptly
• Maintain good standing with the state
• Appoint a replacement agent if you leave our service

7. How We Handle Documents

• Accepted during business hours (Mon-Fri, 9am-5pm CT)
• Scanned and forwarded same business day when possible
• We are not responsible for legal implications of documents received
• Originals held temporarily, then securely destroyed

8. We Are Not Lawyers

South Dakota Registered Agent.co is not a law firm and does not give legal advice. We perform registered agent functions. For legal questions, hire an attorney. We do not provide tax or formation advice.

9. Liability Cap

• Maximum liability: fees you paid in the prior 12 months
• No liability for indirect, incidental, special, consequential, or punitive damages
• No liability for delays from force majeure, mail disruptions, or state processing issues

10. Indemnification

You indemnify us against claims, damages, or costs (including attorney fees) arising from your use of Services or breach of these Terms.

11. Governing Law

South Dakota law governs. Disputes resolved in South Dakota courts.

12. Changes

We may update these Terms. New versions posted here with updated effective dates. Continued use = acceptance.

13. Severability

Unenforceable provisions do not affect the rest.

14. Entire Agreement

These Terms plus our Privacy Policy = the full agreement.
